Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer”, “you”, or “your”) and Tabrid.ai, a product of the Arabkor Group (“Tabrid.ai”, “we”, “our”, or “us”), governing your access to and use of the Tabrid.ai thermal intelligence platform, software, APIs, and related services (collectively, the “Services”).

By accessing the Services, creating an account, or clicking “Agree”, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organisation, you represent and warrant that you have authority to bind that organisation. If you do not accept these Terms, do not use the Services.

2. Description of Service

Tabrid.ai provides an AI-powered thermal intelligence platform for enterprise facilities including data centers, cold chain operations, and industrial facilities. The platform includes, as applicable to your subscription tier:

• Real-time temperature and environmental monitoring via IoT sensors.
• AI-driven anomaly detection and predictive maintenance alerts.
• Energy optimisation analytics including PUE and COP tracking.
• Regulatory compliance automation and audit reporting.
• BMS, DCIM, and third-party system integrations.
• Dashboard interfaces, mobile applications, and API access.

The specific features available to you depend on your subscription plan and any enterprise agreements in force. Tabrid.ai reserves the right to modify, suspend, or discontinue features with reasonable prior notice.

3. User Accounts

3.1 Account Registration

To access the Services, you must register for an account by providing accurate, complete, and current information. You are responsible for maintaining the accuracy of your account information and updating it promptly when it changes.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must immediately notify us at [email protected] if you suspect any unauthorised use or security breach. We are not liable for losses arising from your failure to protect your credentials.

3.3 Account Types

Enterprise accounts may include multiple user seats as specified in your Order Form. You are responsible for managing user access within your account and ensuring all authorised users comply with these Terms.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights.
• Transmit malware, viruses, or other harmful code.
• Attempt to gain unauthorised access to our systems, other accounts, or connected infrastructure.
• Perform load testing, penetration testing, or vulnerability scanning without prior written authorisation from Tabrid.ai.
• Reverse-engineer, decompile, disassemble, or derive source code from the platform or any component thereof.
• Sublicense, resell, or commercially exploit the Services without an express written agreement.
• Interfere with or disrupt the integrity or performance of the Services or data contained therein.
• Use the Services in any manner that violates Saudi Arabia's Cybercrime Law (Royal Decree No. M/17) or equivalent GCC legislation.

Tabrid.ai reserves the right to suspend or terminate access immediately where a breach of acceptable use is suspected or confirmed.

5. Intellectual Property

5.1 Tabrid.ai IP

All rights, title, and interest in and to the Services, including the platform software, AI models, algorithms, documentation, trade names, and all related intellectual property, are and remain the exclusive property of Tabrid.ai and its licensors (including Carnotfleet Korea and ARP Korea). These Terms do not grant you any ownership right in the Services. Your subscription grants a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely as described herein and in your Order Form.

5.2 Customer Data

You retain all ownership rights to operational data, sensor telemetry, and other data you input into or generate through the Services (“Customer Data”). You grant Tabrid.ai a limited licence to process Customer Data solely to provide the Services and as described in the Privacy Policy. We will not access Customer Data except as necessary to provide support or as required by law.

5.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Services may be used by Tabrid.ai without restriction or compensation to you, and you hereby assign all rights in such feedback to Tabrid.ai.

6. Confidentiality

Each party agrees to maintain the confidentiality of the other party's non-public information disclosed in connection with these Terms (“Confidential Information”) and to use it solely to exercise rights or fulfil obligations under these Terms. Each party will protect the other's Confidential Information with at least the same degree of care used to protect its own confidential information, but no less than reasonable care. This obligation does not apply to information that is publicly available, independently developed, or lawfully obtained from a third party without restriction.

7. Payment Terms

Subscription fees are specified in the applicable Order Form or Quote. Unless otherwise agreed, fees are invoiced annually in advance and are due within 30 days of invoice date. All fees are exclusive of applicable taxes, including VAT where applicable under Saudi and GCC law. Late payments may accrue interest at the rate of 1% per month or the maximum permitted by law, whichever is lower. Tabrid.ai reserves the right to suspend access to the Services for accounts with overdue balances following reasonable notice.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Tabrid.ai's total aggregate liability arising out of or related to these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by you to Tabrid.ai in the twelve months immediately preceding the event giving rise to the claim.

In no event shall Tabrid.ai be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or cost of procurement of substitute services, even if Tabrid.ai has been advised of the possibility of such damages.

Nothing in these Terms limits liability that cannot be excluded by applicable law, including liability for fraud, death, or personal injury caused by negligence.

9. Warranties and Disclaimers

Tabrid.ai warrants that the Services will perform materially in accordance with the applicable documentation during the subscription term. As the Customer's exclusive remedy for breach of this warranty, Tabrid.ai will use commercially reasonable efforts to correct the non-conformance or, if correction is not commercially practicable, refund the pro-rated fees for the affected period.

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. TABRID.AI DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Termination

10.1 Termination by Customer

You may terminate your subscription at any time by notifying us in writing at least 30 days before your next renewal date. Unless otherwise stated in your Order Form, fees paid for the current subscription period are non-refundable upon early termination.

10.2 Termination by Tabrid.ai

We may terminate or suspend your access to the Services immediately and without notice if you materially breach these Terms and fail to cure such breach within 15 days of written notice, or immediately if the breach relates to acceptable use, payment fraud, or intellectual property infringement.

10.3 Effect of Termination

Upon termination, your right to access the Services ceases immediately. You may export your Customer Data within 30 days of termination. After this period, Tabrid.ai may delete Customer Data in accordance with the Privacy Policy. Sections 5 (Intellectual Property), 6 (Confidentiality), 8 (Limitation of Liability), 11 (Governing Law), and this section shall survive termination.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall first be subject to good-faith negotiations between the parties for a period of 30 days. If not resolved, disputes shall be submitted to the exclusive jurisdiction of the competent courts of Riyadh, Saudi Arabia, unless otherwise agreed in writing in an enterprise Order Form.

12. General Provisions

12.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable Order Form, constitute the entire agreement between the parties regarding the Services and supersede all prior negotiations, representations, or agreements.

12.2 Amendments

We may amend these Terms by posting a revised version at tabrid.ai/legal/terms and providing at least 30 days' notice to registered customers via email. Continued use of the Services after the effective date of the revised Terms constitutes acceptance.

12.3 Severability

If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

12.4 Waiver

Failure by either party to enforce any provision of these Terms shall not constitute a waiver of that party's right to enforce it in the future.

12.5 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, acts of government, war, terrorism, pandemics, or infrastructure failures beyond the party's direct control.
